1. Acceptance and scope
These Terms of Use apply when you access or use NEWLY SOFT websites, public digital interfaces and services that link to these Terms. By using the relevant service, you agree to these Terms to the extent a contract can be formed under applicable law.
Paid, enterprise, developer, cloud or application services may be subject to additional product terms, order forms, licence terms, service-level terms or data-processing terms. If those terms conflict with these general Terms, the more specific terms control for that service.
2. Services and eligibility
NEWLY provides software, mobile, cloud, automation, AI, IoT, product-verification, hardware-integration and related technology services. Features may vary by product, location, account type and service plan.
You must have legal capacity to enter into these Terms, or use the service under the authority of a parent, guardian or organisation where applicable. Business users represent that they are authorised to act for the organisation they identify.
3. Accounts and security
- Provide accurate information where registration is required.
- Keep authentication credentials confidential and use reasonable account-security measures.
- Do not share credentials in a way that defeats account controls or licences.
- Notify us promptly if you reasonably suspect unauthorised access or compromise.
You are responsible for activity carried out through your account to the extent permitted by applicable law and subject to NEWLY's own security responsibilities.
4. Acceptable use
You may not use NEWLY services to:
- violate applicable law or the rights of others;
- gain unauthorised access to accounts, systems, networks or data;
- introduce malware, harmful code, automated abuse or disruptive traffic;
- circumvent technical, security, rate-limit, licensing or access controls;
- scrape, reverse engineer or extract protected components except where applicable law expressly permits it despite a contractual restriction;
- misrepresent identity, origin, affiliation or authorisation;
- use a service in a manner that materially threatens the security, integrity or availability of NEWLY systems or other users.
5. Intellectual property
NEWLY and its licensors retain all rights in the services, software, designs, interfaces, documentation, trademarks, logos and other protected materials, except for rights expressly granted to you. These Terms provide a limited right to use the relevant service as intended; they do not transfer ownership of NEWLY intellectual property.
Third-party and open-source components remain subject to their applicable licences and notices.
6. User content and feedback
You retain rights you hold in content you submit. You grant NEWLY only the rights reasonably necessary to host, transmit, process, back up and display that content for the purpose of providing the service, subject to the applicable privacy notice and service terms.
If you voluntarily provide product feedback or suggestions, NEWLY may use that feedback without an obligation to compensate you, provided this does not override rights in confidential information, personal data or intellectual property protected by law or a separate agreement.
7. Third-party services and links
NEWLY services may interoperate with or link to third-party services. Third parties operate under their own terms, security practices and privacy notices. NEWLY is not responsible for third-party services that it does not control, except to the extent responsibility cannot lawfully be excluded.
8. Availability, changes and beta features
We may maintain, update, replace or discontinue features in order to improve security, performance, compliance or product functionality. For paid or contracted services, notice and service commitments are governed by the applicable order, contract or mandatory law.
Preview, beta or experimental features may change or be withdrawn and may be subject to additional limitations disclosed with the feature.
9. Warranties and limitation of liability
To the fullest extent permitted by applicable law, public website content and free services are provided on an "as available" basis. We do not promise uninterrupted operation, the absence of every defect, or that general informational content will be suitable for every purpose.
To the fullest extent permitted by law, NEWLY will not be liable for indirect, incidental, special or consequential loss arising solely from use of a public website or free informational service. Any liability limits for paid or enterprise services are governed by the applicable contract.
10. Suspension and termination
We may suspend or restrict access where reasonably necessary to address security risk, unlawful use, material breach, non-payment under an applicable commercial agreement, or a legal requirement. Where appropriate and legally permitted, we will take proportional measures and provide notice.
You may stop using public services at any time. Account closure, data return/export and deletion for contracted services are governed by the relevant service terms and applicable law.
11. Governing law and disputes
These general Terms are governed by the laws of the Republic of Türkiye, without depriving consumers or other protected users of mandatory rights available under laws that apply regardless of contractual choice. Courts and enforcement offices with jurisdiction under applicable Turkish law will have jurisdiction unless mandatory law or a specific written agreement provides otherwise.
Before formal proceedings, we encourage users to contact us so the issue can be reviewed and, where possible, resolved efficiently.
Changes
We may update these Terms for legal, security, technical or service changes. Material changes will be communicated where required by law. Continued use after an effective update constitutes acceptance only to the extent permitted by applicable law.
